End User License Agreement

1. Agreement and eligibility

This End User License Agreement (the “Agreement”) is a legally binding agreement between you (“User”, “you” or “your”) and Limited Liability Company “Aratog” (“Aratog”, “Licensor”, “we”, “us” or “our”).

This Agreement governs your access to and use of the computer game Astro Lords: Oort Cloud, including the game client, server-related functionality, websites, documentation, updates, patches and related materials and services.

By downloading, installing, accessing, launching or otherwise using the Game, you confirm that you have read, understood and accepted this Agreement.

You may use the Game only if you have legal capacity to enter into this Agreement. If you are under the age of legal majority in your jurisdiction, you may use the Game only with permission from a parent or legal guardian where such permission is required by law.

You must not use the Game or any related service where such use is prohibited by the laws applicable to you.

2. Definitions

• “Game” means Astro Lords: Oort Cloud and its software, code, data, audiovisual materials, documentation, updates and related services.
• “Account” means an account used to access the Game or any related online service.
• “Virtual Content” means virtual currency, characters, asteroids, ships, equipment, resources, bonuses, rankings, achievements, entitlements and other in-game content.
• “User Content” means content submitted, uploaded, transmitted or otherwise made available by a User through the Game or related services.
• “Game Rules” means rules concerning gameplay, accounts, communication, fair play and conduct published through the Game or its official website.

3. Ownership and intellectual property

Aratog is the owner and rightsholder of the Game and the intellectual property embodied in it, except for third-party materials used under applicable licenses.

The Game is protected by copyright, trademark, database, trade secret and other intellectual property laws and international treaties.

Aratog’s rights include, without limitation, rights in and to:

• source code, object code, client software, server software, tools, protocols and databases;
• game systems, mechanics, rules, balance, progression and technical architecture;
• characters, asteroids, ships, locations, stories, dialogue, quests and the fictional universe;
• graphics, interfaces, icons, models, textures, animations, artwork and visual effects;
• music, sound effects, voice recordings and audiovisual materials;
• the names “Astro Lords” and “Astro Lords: Oort Cloud”, logos, branding and promotional materials;
• documentation, websites, localizations, updates, expansions and derivative materials.

Your use or control of an Account, character, asteroid, ship, Virtual Content, achievement or gameplay progress does not transfer ownership, authorship or co-authorship of that element to you.

This Agreement grants only the limited license stated below. All other rights are reserved by Aratog.

4. License granted to the User

Subject to your compliance with this Agreement and the Game Rules, Aratog grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to install, access and use the Game solely for personal, non-commercial entertainment.

The Game is licensed, not sold. You do not acquire ownership of the Game or any right to receive source code, server software, development tools, updates, support, continued online access or any particular version of the Game.

5. Prohibited use

Unless Aratog expressly authorizes it in writing, or mandatory law provides otherwise, you may not:

• copy, reproduce, distribute, publish, sell, rent, lease, sublicense or commercially exploit the Game or any part of it;
• modify, adapt, translate, port, merge, alter or create derivative works based on the Game;
• reverse engineer, decompile, disassemble or otherwise attempt to derive source code, algorithms, protocols or internal structure;
• access, copy, emulate, recreate, operate, distribute or promote the Game’s server software or an unauthorized private server;
• circumvent authentication, access restrictions, encryption, anti-cheat systems or other technical protections;
• intercept, scrape, mine, collect or extract data from the Game except through functions expressly provided by Aratog;
• use or distribute unauthorized mods, plugins, overlays, injectors or other software that alters the Game, affects gameplay, accesses protected data or interferes with security;
• use bugs, errors, vulnerabilities or unintended mechanics to obtain an advantage or harm the Game or another User;
• interfere with, disrupt, overload or damage the Game, its servers, networks or another User’s access;
• upload or distribute malware, viruses, trojans, worms, corrupted files or other harmful code;
• create, obtain, publish, distribute, promote or link to credentials, tools or instructions intended to enable unauthorized access to an Account, the Game, its servers, databases or related systems;
• remove, alter or conceal copyright, trademark, attribution or proprietary notices;
• represent that you own, created, sponsor or officially represent the Game or any part of it;
• use the Game in violation of applicable law or third-party rights.

If you discover a material security vulnerability, exploit or serious technical error, you must promptly report it to Aratog, must not use it to obtain an advantage, and must not publicly disclose it before Aratog has had a reasonable opportunity to investigate and address it.

6. Accounts and security

Certain versions or functions of the Game may require an Account. You are responsible for protecting your login credentials and for activity performed through your Account.

You must provide accurate information where registration is required and must not impersonate another person or use an Account without authorization.

An Account is personal and may not be sold, purchased, transferred, rented, shared or assigned without Aratog’s prior written consent.

Unless the Game Rules expressly permit otherwise, you may not operate multiple Accounts to obtain an unfair advantage, bypass restrictions or transfer resources improperly.

Aratog may request reasonable information to verify Account ownership or identity before restoring access, changing credentials, investigating fraud, resolving a dispute, complying with law or providing support.

Aratog may collect and retain technical information reasonably necessary to operate and protect the Game, including IP address, device and browser information, access time, security events and Account activity, subject to applicable data-protection law.

Aratog may delete or anonymize an Account after prolonged inactivity where reasonably necessary for technical, security, operational or data-management purposes, subject to applicable law.

7. Virtual content and game progress

Virtual Content, Accounts, characters, rankings, achievements and gameplay progress are licensed, not sold. They remain part of the Game and do not become your property.

Virtual Content has no monetary value outside the Game and does not represent money, property, a deposit or a financial instrument. It may not be exchanged for real money unless Aratog expressly provides otherwise in writing.

Your right to use Virtual Content exists only within the Game, under this Agreement, and while the relevant functionality remains available.

Aratog may create, modify, rebalance, replace, suspend, remove or discontinue Virtual Content, characters, rankings or progress where necessary for gameplay, technical, legal, security or operational reasons.

Unauthorized sale, purchase, exchange, transfer or commercial exploitation of Accounts, Virtual Content, services or in-game currency is prohibited.

If the Game enables purchases, prices, payment methods and applicable refund terms will be displayed at the point of purchase or governed by the relevant platform’s terms. This Agreement does not limit consumer rights that cannot legally be waived.

8. User conduct and fair play

You must comply with this Agreement and the Game Rules. You must not:

• use bots, scripts, macros, cheats, automation or unauthorized software to play or obtain an advantage;
• manipulate results, rankings, resources, transactions or matchmaking;
• harass, threaten, defame, deceive, abuse or impersonate another person;
• publish unlawful, infringing, hateful, obscene, pornographic, violent or malicious content;
• promote discrimination, terrorism, extremism, fraud, malware, illegal drugs or other unlawful activity;
• disclose another person’s personal information without authorization;
• send spam, flood communications, chain messages or unauthorized advertising;
• use names, descriptions, symbols or identifiers that falsely suggest affiliation with Aratog or its partners;
• interfere with another User’s ability to play or with Aratog’s administration of the Game;
• evade a warning, suspension, ban, Account restriction or technical measure.

9. User content

You retain any rights you lawfully hold in User Content.

By submitting User Content through the Game or related services, you grant Aratog a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, adapt, display, communicate and otherwise use that content as necessary to operate, maintain, moderate, promote and improve the Game and related services.

You represent that you have the rights required to submit the User Content and that its use under this Agreement will not violate law or third-party rights.

Aratog is not responsible for User Content posted by Users, but may monitor, moderate, remove or restrict access to User Content that violates this Agreement, the Game Rules, applicable law or the rights of others.

10. Videos, streams and fan content

Aratog permits Users to create and share gameplay videos, live streams, screenshots, reviews and fan content featuring the Game, including content monetized through ordinary platform advertising or creator programs, provided that the use:

• does not suggest official sponsorship, endorsement or partnership;
• does not distribute the Game, source code, server software, standalone assets or confidential materials;
• does not use cheats, unauthorized servers or unlawfully obtained content;
• does not violate this Agreement, applicable law or third-party rights.

This permission is limited and revocable and does not transfer ownership of Game materials.

11. Operation and availability of the Game

The Game may depend on online services, servers, network connectivity and third-party platforms. Aratog does not guarantee uninterrupted or permanent availability.

Aratog may update, patch, change, rebalance, suspend, restrict or discontinue any version, platform, feature, event, server, service, item, rule or part of the Game.

Updates may change functionality, system requirements, compatibility, content, balance, interfaces or progress and may be required for continued access.

The Game may be unavailable because of maintenance, technical failure, security incidents, third-party interruption, legal requirements or business decisions.

If the Game or online services are no longer actively operated, Aratog is not obliged to restore servers, preserve Account data, maintain compatibility or provide continued support.

Nothing in this Agreement obliges Aratog to develop or release any update, expansion, sequel, remake, remaster, port or new version.

12. Third-party components and services

The Game may include or interact with third-party software, engines, libraries, assets, platforms, payment systems or online services governed by separate terms or licenses.

Aratog does not control and is not responsible for the availability, security, operation or content of third-party services.

Nothing in this Agreement grants you ownership of any third-party component.

13. Enforcement, suspension and termination

Aratog may investigate suspected violations and preserve relevant technical records where permitted by law.

Depending on the nature and seriousness of a violation, Aratog may:

• issue a warning;
• restrict chat, mail or other communication functions;
• rename a User, character, guild, alliance or in-game object;
• remove or adjust Virtual Content, currency, rankings or progress;
• temporarily suspend or permanently terminate access;
• delete characters or Accounts;
• take other proportionate action necessary to protect the Game, Aratog or other Users.

Aratog may suspend or terminate your license or access if you materially violate this Agreement or the Game Rules, infringe intellectual property rights, threaten the security or operation of the Game, engage in fraud or unlawful conduct, or where action is otherwise necessary to protect the Game or its Users.

You may terminate this Agreement at any time by ceasing use of the Game and deleting all copies under your control.

Upon termination, you must stop using the Game. Provisions concerning ownership, prohibited use, User Content licenses, disclaimers, liability, indemnification and general provisions survive where their nature requires.

14. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GAME AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.

Aratog does not warrant that the Game will meet your expectations or be uninterrupted, timely, secure, error-free, compatible with a particular device or platform, or available for any particular period.

Aratog is not responsible for the quality or availability of your internet connection, device, operating system, third-party platform or payment provider.

Nothing in this Agreement excludes a warranty or consumer right that cannot legally be excluded.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARATOG SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION OR LOSS ARISING FROM UNAVAILABLE ONLINE SERVICES.

Aratog is not responsible for loss caused by unauthorized access to an Account resulting from your failure to protect credentials or devices.

Aratog is not liable for statements, conduct, User Content or unlawful acts of Users or third parties, except where liability cannot legally be excluded.

Where liability cannot be excluded, Aratog’s total liability arising out of or relating to the Game or this Agreement shall not exceed the amount paid by you directly to Aratog for the Game or related paid services during the twelve months preceding the event giving rise to the claim.

Nothing in this Agreement limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot legally be limited.

16. Indemnification

To the extent permitted by applicable law, you agree to compensate Aratog for reasonable losses, liabilities, claims and expenses arising directly from your unlawful use of the Game, material breach of this Agreement, User Content or infringement of third-party rights.

This section does not apply where prohibited by mandatory consumer law.

17. Dispute resolution

Aratog and the User shall make reasonable efforts to resolve any dispute arising out of or relating to this Agreement through good-faith negotiations.

If a dispute cannot be resolved amicably, either party may seek relief before a court of competent jurisdiction as determined by applicable law.

Nothing in this Agreement limits any mandatory rights granted to consumers under applicable law.

18. Changes to this Agreement

Aratog may update this Agreement to reflect changes in the Game, related services, law, security requirements or business operations.

An updated version will be published on the official Game website or otherwise made available through the Game or related services.

Your continued use after the updated Agreement becomes available constitutes acceptance where permitted by law. Where required by law, Aratog will provide additional notice or request renewed acceptance.

19. General provisions

Entire agreement. This Agreement, together with any Game Rules or separate terms expressly incorporated into it, constitutes the entire agreement between you and Aratog regarding use of the Game.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain effective. The invalid provision shall be interpreted or replaced as closely as legally possible to its intended purpose.

No waiver. Failure to enforce a provision does not waive the right to enforce it later.

Assignment. You may not assign this Agreement without Aratog’s prior written consent. Aratog may transfer this Agreement together with the Game, related intellectual property or relevant business, subject to applicable law.

Language. Translations may be provided for convenience. Unless mandatory law requires otherwise, the English version prevails in the event of inconsistency.

Headings. Headings are for convenience only and do not affect interpretation.
